CRH to acquire Arcosa for $8.5 billion

CRH announced that it has signed an agreement to acquire 100 percent of Arcosa in an all‑cash transaction at $150 per share, valuing the target at approximately $8.5 billion. The deal represents a 25 percent premium to Arcosa's 60‑day VWAP and an acquisition multiple of 11.5 times 2026E Adjusted EBITDA, including projected $175 million in run‑rate cost synergies by year three. Arcosa, headquartered in Dallas, operates a leading aggregates platform with 109 quarries, nine asphalt plants, 19 terminals and about 35 million tons of aggregates shipped in 2025, plus an engineered structures business that supplies critical products for the high‑growth energy transmission market. The acquisition bolsters CRH's position as the top U.S. aggregates producer and expands its exposure to fast‑growing metropolitan areas while adding a foothold in grid‑modernization and data‑center infrastructure.
