Fox Corp. agreed to acquire Roku for approximately $22 billion in an all-stock transaction, with Fox shareholders expected to own 73% of the combined entity and Roku shareholders 27%. The deal includes a $12 billion bridge loan to fund the acquisition, positioning Fox as a major player in the streaming platform sector alongside competitors like Google, Amazon, and TiVo. Roku operates a leading streaming platform serving over 100 million households worldwide and develops streaming devices and smart TV operating systems used by manufacturers such as TCL and Hisense. Fox, which already owns the Fox broadcast network and cable channels like Fox News, aims to expand its streaming business through this acquisition, building on its prior $440 million purchase of Tubi in 2020 and the 2025 launch of Fox One, a subscription streaming service. Roku's Q1 2026 revenues reached $1.24 billion, with advertising and subscriptions accounting for $1.13 billion of that total, reflecting its strong monetization capabilities. The transaction is expected to close pending regulatory approval, with Roku founder Anthony Wood joining Fox's board and maintaining an ongoing role in the combined company.
