Ingredion, Inc. agreed to acquire London-based Tate & Lyle PLC for £2.7 billion ($3.6 billion) in an all-cash transaction announced on June 8, 2026. The deal will create a combined business generating $10 billion annually in revenue and $1.8 billion in adjusted EBITDA, with Tate & Lyle contributing 27% of revenues and 32% of EBITDA. Ingredion expects $130 million in annual cost synergies by 2030 and $175 million in one-time cash costs, with the transaction projected to be more than 15% accretive to adjusted EPS in the first full calendar year post-acquisition. The combined entity will operate 65 manufacturing plants worldwide and 50 innovation centers staffed by over 800 scientists, holding 2,700 patents. Financing will be through cash reserves, new debt, and a fully committed bridge financing facility, targeting a net debt level of three times adjusted EBITDA initially, declining to 2.5 times within 18 months.
