Serbia and MOL Group sign shareholders' agreement for NIS management

The Serbian government and Hungary’s MOL Group signed a shareholders’ agreement to define the future management structure of Naftna Industrija Srbije (NIS), Serbia’s state-owned oil company, pending MOL’s acquisition of a 56.15% stake from Russian owner Gazprom Neft. The agreement, signed by Serbian Minister of Mining and Energy Dubravka Đedović Handanović, outlines governance processes and strategic objectives for NIS, ensuring continued operations at the Pančevo oil refinery for at least ten years at pre-sanction capacity levels. MOL Group would assume responsibility for professional management, stable operations, and value-creating investments in NIS, while maintaining supply security for the Serbian market. The transaction remains subject to finalizing the acquisition agreement with Gazprom Neft and obtaining approval from the US Office of Foreign Assets Control (OFAC). MOL Group’s Chairman and CEO Zsolt Hernádi emphasized the agreement’s role in strengthening regional energy security and fostering cooperation among Central and Eastern European energy companies.
